WHOLESALE TERMS & CONDITIONS

Please ensure you have read and understood these terms prior to applying to be a Silverwing Armoury Wholesaler and placing wholesale orders with us. If you’re outside of Canada, please make sure you also read the terms and conditions specific to international wholesale orders (labeled below). These Terms and Conditions apply to all wholesale account holders.  We love our Business Partners and are thrilled to share our products with shops and makers!

WHOLESALE APPROVAL

• Any business that wishes to place a wholesale order with Silverwing Armoury must first be approved for a wholesale account. In order to gain approval, we will require details from you, including your business name, address or URL of your retail or online outlet, and all pertinent contact details.
• Silverwing Armoury will make an assessment as to your eligibility for a wholesale account based on the information provided and on other criteria including, but not limited to, other products and brands stocked by your store and physical proximity to other confirmed Silverwing Armoury wholesalers.
• Wholesale account holders are only approved for the specific retail or online outlet that has been listed on their initial application. If you wish to sell from a further associated outlet (online or retail) in the same business name as your initial application, you must have this approved by Silverwing Armoury.
• Selling from additional outlets without our knowledge and approval may result in the suspension or cancellation of your wholesale account.
• Once your application is approved you will be able to place your first order online using our Google Spreadsheets order form.

WHOLESALE PRICING & ORDERING

• All wholesale prices are shown in Canadian Dollars.
• Wholesale orders are placed using our Google Spreadsheets order form that will be provided once your account is approved. Please download the sheet, fill it in, and email it to [email protected] . 
• Your wholesale account qualifies you for 25% off MSRP.
• Not all products available on the Etsy site or this website are available as part of the wholesale program.
• MSRP can be found on the Google Spreadsheet order form, on the Etsy site, and in the shop section of this website.

PAYMENTS

• Payment is due at the time of shipping. An invoice will be sent to you and once payment is received, your order will be shipped.
• We accept payment via Visa, Mastercard, American Express, and Apple Pay. 
• Canadian retailers may submit their payment via e-transfer to [email protected] or bank payment directly via the invoice.
• Invoicing will be provided via Wave Payments in Canadian Dollars.

SHIPPING & FULFILLMENT

• Once payment is received, we will be unable to make changes or remove items from your order.
• All notebooks are made to order and require production time. Once we receive your order, we will provide you with an estimated production time. 
• Wholesalers incur all shipping costs. Delivery is typically within 5-10 business days of order fulfillment within Canada. Silverwing Armoury will provide the Purchaser with tracking info. All orders are sent using Canada Post Expedited Parcel. International wholesalers, please see below sections on International Wholesale.
• If your shipment is damaged in transit, please refuse delivery. If you are unable to refuse delivery, you agree to contact the Carrier and Silverwing Armoury within 5 days of delivery. Please DO NOT throw away the package, packing materials, or damaged goods. Carriers require photographs of both the damaged box and products.
• Silverwing Armoury cannot be held liable for any errors or shipping delays caused by the carrier but will work to help facilitate retrieval. Problems must be reported in writing by email and you will not be able to return goods until a written authorization from Silverwing Armoury is received. Goods that are sent back without prior authorization may not be eligible for credit to your account.

DAMAGES & DEFECTS

• Please contact Silverwing Armoury at [email protected] within 5 business days of receipt, if your shipment contains damaged or defective items.
• Authorized returned merchandise will be refunded. Returned merchandise will not be accepted if it is held for more than 15 days after receipt.

CANCELLATION OF WHOLESALE ORDERS

• We do not allow cancellations of custom orders or orders over $200 Canadian Dollars.
• If you have not paid your invoice within 7 days, Silverwing Armoury reserves the right to cancel your order and make any reserved items available to other customers. Orders will not be shipped until payment has been received.

INTERNATIONAL WHOLESALE (i.e. OUTSIDE OF CANADA)

• The same application process outlined above applies to international wholesale. All wholesale prices are listed in Canadian Dollars and payment is required in Canadian Dollars.

INTERNATIONAL SHIPPING & DELIVERY

• Postage rates for International Wholesale will vary depending on weight & dimensions. All orders will be shipped via Canada Post with tracking and wholesalers will incur all shipping costs. Customs delays may occur in some instances. Wholesalers are solely responsible for any and all duties, taxes, and/or import fees they may incur. Please make  yourself aware of any possible fees prior to placing a wholesale order with Silverwing Armoury. 
• Delivery is typically between 8 to 12 business days to the USA from the date of shipping and could be up to 4 to 7 weeks for other international destinations.
• Our notebooks' tariff number is 4820.10
• Canada Post is our preferred shipping method; however, purchasers outside of the United States may opt to provide Silverwing Armoury with a FedEx, DHL, UPS (or other carrier) account number for billing. Please contact [email protected] to arrange this.

COPYRIGHT & INTELLECTUAL PROPERTY

• All of the designs, content within, and any materials made available on the website are the sole property of Silverwing. The website, designs, images, and content within are protected by copyright and intellectual property law, and may not be reproduced in any form without the express written consent of Silverwing Armoury.

• If product images or copy are needed for your website, you may visit our Press Kit.

• By becoming a wholesaler, we are granting you a temporary license to sell Silverwing Armoury products and use our promotional imagery in your own marketing, however no rights to our products, designs, photographs, branding or otherwise will transfer during the wholesale relationship. You hereby agree not to reprint, post, or copy (including electronic or digital scans) any photography, sales materials, or product designs without the expressed written consent of Silverwing Armoury.

• Any attempt to use our intellectual property in a manner outside of, or inconsistent with, these Terms and Conditions may result in suspension or cancellation of your wholesale account or further action being taken against you for copyright or any other relevant intellectual property infringement.

SUSPENSION/CANCELLATION OF WHOLESALE ACCOUNT
Silverwing Armoury reserves the right to suspend or cancel your wholesale account in the following circumstances: 

• You have engaged in improper or prohibited trading practices including, but not limited to, selling Silverwing Armoury products from an unapproved outlet or using our images, logos, or any other intellectual property in a manner inconsistent with these Terms and Conditions or our rights as intellectual property holders;
• You have failed to pay for orders or have attempted to cancel more than one order;
• You have failed to advise us of a change to your selling practices, locations, or any other material factor relevant to our wholesale approval process;
• Failure to abide by these Terms & Conditions, or representation contrary or diminishing in nature to the Silverwing Armoury brand will also result in a termination of this agreement and Wholesale Account.

CHANGES TO WHOLESALE

• Silverwing Armoury reserves the right to make changes to the Terms and Conditions that govern our wholesale relationships at any time. We will notify current wholesale account holders of any such changes.
• Furthermore, we reserve the right to make alterations to our wholesale products, prices, shipping methods, returns policies or any other part of our wholesale process.

PRIVACY POLICY
Any personal information that you provide to Silverwing Armoury including your name, address, telephone number, and email address will be treated confidentially and will not be released, sold, or rented to any entities or individuals outside of Silverwing Armoury. Silverwing Armoury does not collect or record any credit card details you may provide when purchasing products.
